Clear Thinking When The Stakes Are Real
My name is Darcy Marler and I work with founders and business owners facing complex decisions — including distressed projects, stalled plans, and high-pressure situations.
Board Director and Turnaround Minded Advisor
for Private Businesses Under Strain
When Businesses Hit a Wall
Sometimes a company is no longer in “normal operating mode.”
– There may be lender pressure.
– Leadership transition.
– A stalled project.
– Shareholder conflict.
– Cash strain.
– Or simply too many variables moving at once.
This is where I work best.
How I Get Involved
There are three typical ways I step in:
1. Board Roles
I join private-company boards when the business is going through transition, strain, or strategic reset.
My role is independent judgment, disciplined thinking, and steady oversight when decisions carry real weight.
2. Turnaround / CRO / Special Situations Roles
In certain cases, I step into an active leadership role during difficult periods.
This may include:
– Stabilizing operations during financial strain.
– Working with lenders and stakeholders.
– Supporting restructuring efforts.
– Helping reset strategy or capital structure.
– Bringing order to complex or deteriorating situations.
These engagements are hands-on and situation-specific.
They are not theoretical exercises.
They involve responsibility.
3. Paid, Private Conversations
In certain cases, I also work directly with owners or operators who are already in active situations and need a second perspective before making a major decision.
These are structured, paid conversations.
They are not coaching.
They are not education.
They are not ongoing programs.
They are focused discussions designed to bring clarity when the margin for error is small.

Experience Under Pressure
In 2009, I was elected President of a company the same day it entered court-supervised restructuring under the Companies’ Creditors Arrangement Act (CCAA – similar to Chapter 11). The business carried approximately $108 million in debt.
Over time, I negotiated individual creditor settlements, secured new capital partnerships, and helped structure a land sale-leaseback transaction that preserved long-term asset control. The company exited restructuring and ultimately opened operations. I continue to serve as a director.
Throughout my 25 year career, I have worked inside capital-intensive businesses across multiple market cycles — including downturns where liquidity tightened and stakeholders were under strain.
I have managed partner disputes, complex financing structures, regulatory environments, and projects where execution risk was high and margins were thin.
I have sat at tables where decisions could not be undone.
That experience informs how I think.
About Darcy
I have spent more than 25 years working inside real businesses — as an investor, executive, restructuring leader, and board member.
My work has spanned development, asset-heavy operations, governance, capital partnerships, and business turnarounds.
I am most effective where:
– Emotions are high.
– Information is incomplete.
– Capital is tight.
– and Decisions matter.
I value disciplined thinking, plain language, and practical outcomes.
Real Situations I’ve Been Involved With
Over the years, I’ve been involved in situations like these:
A large-scale horse racing and gaming development that ran into serious financial trouble and required a court-supervised restructuring to keep the project alive, protect stakeholders, and determine what could realistically be saved.
A multi-generation grain farming operation exploring how to reduce risk and create new income by expanding beyond traditional farming into other business lines.
Large land development sites where the key question wasn’t “Can this be developed?” but “Which version actually makes sense given risk, timing, capital, and market conditions?”
These weren’t academic exercises.
They were real situations with money, reputations, and livelihoods on the line.
